How to use this template

When you need it

Use after technical due diligence identifies exposures requiring a transaction response. Prepare before legal and commercial negotiations settle responsibility, timing or evidence needed around signing and completion milestones.

What it helps you decide

The record translates technical findings into practical proposed actions. It preserves the distinction between engineering closure, commercial acceptance and legal protection so none is assumed merely because another has occurred.

How to complete it

  1. Link Finding reference and Exposure addressed to a specific Proposed action. Explain whether evidence, physical remediation or another response would resolve the technical concern.
  2. Identify Transaction milestone and Responsible party, distinguishing proposed allocation from agreement. Record access and control dependencies that may affect delivery of the action.
  3. Define Closure evidence and Legal review status. Retain Residual exposure and keep technical verification separate from negotiated release, waiver or commercial settlement.

Who prepares and reviews it

The technical lead drafts actions with the buyer's transaction manager and relevant specialists. Legal advisers assess proposed contractual mechanisms; responsibility and acceptance decisions require agreement by the parties with actual transaction authority.

A mistake to avoid

Assigning a remediation obligation to the seller in an internal action list does not make it agreed or legally enforceable between the transaction parties.

Illustrative example

Illustrative example: due diligence finds missing test evidence for a recently replaced fire-pump controller. The action record proposes obtaining and reviewing the relevant evidence before completion. Counsel and the transaction team decide the appropriate negotiated mechanism; technical verification alone does not establish that the buyer has waived other concerns.
