When you need it

Use the contract risk register during tender review, negotiation and delivery when actual wording may create exposure. Refresh it after amendments, scope changes or events that activate a previously identified risk trigger.

How to complete it

  1. Identify the applicable contract version and document precedence, then map the relevant clause to an identifiable trigger and potential consequence for the project.
  2. Record evidence and assumptions supporting the exposure, examining scope, programme and commercial interfaces within the agreed legal and project-management review remit for that assessment.
  3. Propose a practical mitigation and decision owner, distinguish negotiation proposals from agreed amendments, and maintain decision evidence as the contract or project circumstances evolve.

Who prepares and reviews it

The contracts manager coordinates commercial, planning and technical contributors, involving qualified legal counsel where interpretation requires it. Decision owners review proposed mitigations according to actual negotiation authority and project delegations.

A mistake to avoid

Do not import familiar clause meanings from another contract form; wording, amendments, precedence and applicable law can materially change the exposure and available response.

Illustrative example

Illustrative example: a draft supply contract links payment to a broad completion condition while installation is outside the supplier's control. The register records the clause and dependency. Commercial and legal reviewers assess a narrower milestone proposal before the authorized negotiator decides the response.
